Terms of Use and Engagement

The terms for using this site and for engaging me. Where a signed proposal says something different, the proposal wins.

1. Who you are dealing with

This website is operated by Keshab Joshi, an independent consultant based in Kathmandu, Nepal. Contact: the contact page.

By using this site you accept these terms. If you do not accept them, please do not use the site.

2. What this site is

The site describes professional services and publishes guides, checklists, calculators and case studies. It is a source of information, not a substitute for advice about your particular situation. See the disclaimer.

3. Using the site

You may read, print and share pages for your own business use, and quote short passages with a link back to the source page.

You may not republish substantial parts of the content as your own, scrape the site systematically, use it to train a machine learning model without written permission, attempt to gain unauthorised access to any part of it, or use it in any way that interferes with other visitors.

4. Free tools, audits and downloads

The calculators, checklists and audits offered here are provided free and are meant as a starting point. Their outputs are estimates based on the figures you enter and on industry ranges, not a forecast of your results.

Requesting a free audit does not create a client relationship or any obligation on either side. I may decline to provide one, for example where the request appears automated, where the site falls outside the areas I work in, or where the volume of requests makes it impractical.

5. Intellectual property

All content on this site, including text, layout, design, code, charts and downloadable resources, belongs to Keshab Joshi unless credited otherwise. Client names and logos remain the property of those clients and appear with their permission.

For client work: on full payment of all outstanding invoices, ownership of the deliverables created specifically for you passes to you. Methods, templates, checklists, scripts and general know-how used to produce them remain mine, and I may keep using them for other clients.

6. Engaging me for work

These terms cover the website. Client engagements are governed by a written proposal or statement of work that sets out scope, fees, timelines and deliverables. Where a proposal conflicts with this page, the proposal wins.

Fees. Management and retainer fees are flat monthly amounts, invoiced in advance, in NPR, USD, EUR, GBP, AUD, CAD or AED as agreed. Fees exclude advertising spend, third-party tools and taxes.

Advertising spend. Ad budgets are paid by you directly to Google, Meta or another platform from an account in your name. I do not hold or resell media, and I never take a percentage of your spend.

Payment terms. Invoices are due within 14 days of the invoice date. Work may be paused on accounts more than 30 days overdue, after written notice.

Term and cancellation. Retainers run month to month unless the proposal says otherwise. Either side may end the engagement with 30 days written notice. Fees for the current month are not refunded, and you receive a written handover of account structures, tracking configuration and work in progress.

Refunds. Fixed-price projects are billed in stages agreed in the proposal. If a project is cancelled part way, you pay for work completed to that point and receive what has been produced. Monthly service fees, once the month has begun, are not refundable, because the work is delivered continuously rather than on delivery of a single item.

Your responsibilities. Timely access to accounts and websites, timely feedback and approvals, and accurate information about your business. Delays caused by these do not extend the fee period.

No guaranteed rankings or results. Search engines and advertising platforms control ranking and delivery, and their systems change without notice. I commit to method, effort and reporting, not to a specific position, traffic figure or number of leads. Any figure quoted in a proposal is a target derived from data, not a promise.

Confidentiality. Each side keeps the other’s non-public information confidential during the engagement and for three years after it. Client work may be described in anonymous, aggregated form unless the proposal says otherwise; naming a client publicly always requires their written permission.

Subcontracting. Certain elements such as design, development or content production may be delivered by people working with me. I remain responsible for the work and for their confidentiality.

7. Third-party platforms

Delivery depends on platforms I do not control, including Google, Meta, Microsoft, WordPress hosting and analytics tools. Their policies, pricing, features and account decisions may change or be enforced without notice, including account suspensions. I will help resolve such issues, but I am not responsible for the platforms’ own decisions or outages.

8. Limitation of liability

Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud, or under the Australian Consumer Law and the UK Consumer Rights Act where those apply.

Subject to that, and to the fullest extent the law allows: the site and its free resources are provided as they are, without warranty; I am not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill; and my total liability arising out of an engagement is limited to the fees you paid me for that engagement in the three months before the claim arose.

9. Indemnity

You agree to cover any claim arising from content, images, product information or customer data you supply for use in campaigns or on a website, where that content infringes someone’s rights or breaches a law or platform policy.

10. Governing law

These terms are governed by the laws of Nepal, and the courts of Kathmandu have exclusive jurisdiction, except that a consumer resident elsewhere retains any right they have to bring proceedings in their own country.

11. Changes

I may update these terms. The version on this page at the time you use the site is the version that applies to that use. Engagement terms in a signed proposal do not change mid-engagement without agreement from both sides.
